Terms and Conditions - 5 Year Uppbeat Pro Giveaway

1. Promoter

The Uppbeat Pro Prize Draw ("Giveaway") is operated by Music Vine Limited ("Music Vine", "we", "our" or "us").

The Giveaway is an ongoing monthly prize draw with no scheduled end date. Unless otherwise stated, one (1) winner will be selected each calendar month. No purchase is necessary to enter.

The Giveaway may be amended, suspended or withdrawn by Music Vine where reasonably necessary.

2. The Prize

The prize consists of five (5) years of access to an Uppbeat Pro subscription.

The prize will be applied to the winner's existing Uppbeat account or, if they do not already have one, to a free Uppbeat account created in accordance with these Terms & Conditions.

If the winner already has an active Uppbeat subscription, five (5) years of Uppbeat Pro will be added to that account.

The prize is personal to the winner and may not be sold, transferred, assigned, exchanged or redeemed for cash.

The prize provides access to the applicable subscription benefits only. Use of Uppbeat and all licensed content remains subject to the Uppbeat Terms of Service and applicable licensing terms in force from time to time.

3. Eligibility

Entry is open worldwide except where participation or the award of the prize would be prohibited by applicable law or would require Music Vine to obtain registration, licensing or regulatory approval. Where a selected winner is ineligible for these reasons, Music Vine reserves the right to select an alternative winner.

To be eligible, entrants must:

be following Uppbeat's official Instagram account at the time the monthly draw takes place; and
comply with these Terms & Conditions.

Employees of Music Vine Limited, its affiliated companies and members of their immediate families are not eligible to enter.

To claim the prize, the winner must have an Uppbeat account. If the winner does not already have one, they must create a free account within fourteen (14) days of being notified that they have won and provide the email address associated with that account.

If the winner fails to create an account or provide the relevant email address within this period, Music Vine reserves the right to withdraw the prize and select an alternative winner.

Music Vine reserves the right to refuse or withdraw the prize if an entrant's Instagram or Uppbeat account has been created or used fraudulently or otherwise breaches these Terms & Conditions, the Uppbeat Terms of Service or Instagram's Terms of Use.

4. Winner Selection

One winner will be selected on the last Tuesday of each calendar month (or the next working day where reasonably necessary).

The winner will be selected at random using an independent random selection process from a snapshot of Uppbeat's Instagram followers taken at the time of the draw.

The winner will be contacted via the Instagram account associated with their entry within fourteen (14) days of the draw.

It is the entrant's responsibility to monitor their Instagram account, including message requests. If the winner does not respond within fourteen (14) days of our initial notification, Music Vine reserves the right to withdraw the prize and select an alternative winner.

Music Vine will only contact winners via Uppbeat's official Instagram account. If you receive a message from any other account claiming you have won, it is not legitimate.

Music Vine may announce the winner's Instagram username on Uppbeat's Instagram account and other Uppbeat marketing channels.

5. Data Protection & Publicity

Personal information submitted in connection with this Giveaway will be processed in accordance with the Uppbeat Privacy Policy.

If selected as the winner, you agree that Music Vine may publicly announce your Instagram username in connection with the Giveaway. No contact details or location information will be published.

6. Changes to the Service

Music Vine may introduce new subscription tiers, features, pricing models or services from time to time.

If the Uppbeat Pro subscription is renamed, replaced, discontinued or materially changed, Music Vine reserves the right to provide the subscription or service that it reasonably considers to be the closest equivalent.

The prize does not entitle the winner to future premium products, paid add-ons or services that are not considered part of that equivalent subscription.

7. Liability

The prize entitles the winner to access the equivalent of an Uppbeat Pro subscription for five (5) years from the date it is awarded, subject to the continued operation of the Uppbeat service or any successor service by Music Vine Limited or any successor or purchaser of the Uppbeat business.

If the Uppbeat service is permanently discontinued, or Music Vine Limited ceases trading and no successor continues to operate the service, the prize will automatically end. No cash alternative, compensation or replacement service will be provided.

If Music Vine sells, transfers or restructures the Uppbeat business, these obligations may be assumed by the purchaser or successor entity.

This five (5) years of access remains subject to the Uppbeat Terms of Service. Music Vine may suspend or terminate access where the winner breaches those terms in the same manner as any other subscriber.

Music Vine accepts no responsibility for any loss, damage or inconvenience arising from the Giveaway except where liability cannot be excluded by law. This includes, without limitation, technical failures affecting Instagram or third-party services, failure to receive or respond to winner notifications, changes to Instagram functionality, events beyond our reasonable control, cyber incidents, internet outages or changes in applicable law.

8. General

Music Vine's decisions regarding the administration of the Giveaway are final.

If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms & Conditions are governed by the laws of England and Wales. Any disputes arising in connection with the Giveaway shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer laws provide otherwise.

This Giveaway is in no way sponsored, endorsed, administered by or associated with Meta or Instagram.
